Terms of Service
These Terms of Service ("Terms") govern access to and use of SalesAgent (salesagent.algotweaks.com), a multi-tenant, AI-powered sales-agent platform operated by AlgoTweaks that lets businesses connect a WhatsApp Business Account and use an AI assistant to communicate with their customers over WhatsApp. By creating an account or otherwise using SalesAgent, you agree to these Terms.
1. Acceptance of Terms
By registering for or using SalesAgent, you confirm that you have the authority to bind the business on whose behalf you are acting ("you" or "Business Customer") to these Terms. If you do not agree, do not use SalesAgent.
2. Description of the Service
SalesAgent connects to a Business Customer's WhatsApp Business Account and uses an AI assistant to read incoming WhatsApp messages and generate responses on the Business Customer's behalf, assist with lead qualification and sales workflows, and provide a dashboard to review conversations and manage the account.
3. Permitted Use
You agree to use SalesAgent only for lawful business purposes. You will not use SalesAgent to:
- Send unsolicited, spam, or unlawful messages, or otherwise violate applicable messaging or marketing laws;
- Send content that is fraudulent, deceptive, defamatory, obscene, or infringes the rights of others;
- Attempt to interfere with, disrupt, or reverse-engineer the service or its underlying infrastructure;
- Use the service to process categories of data you are not lawfully permitted to process; or
- Violate any applicable law or third-party rights, including WhatsApp's and Meta's own policies (see Section 4).
4. WhatsApp and Meta Dependency
SalesAgent operates on top of the WhatsApp Business Platform, which is owned and operated by Meta Platforms, Inc. and/or its affiliates ("Meta"). Your use of SalesAgent is conditioned on your compliance with Meta's WhatsApp Business Messaging Policy, WhatsApp Business Solution Terms, and any other applicable Meta terms, which are separate from and in addition to these Terms. SalesAgent does not control, and is not responsible for, Meta's decisions, including any suspension, restriction, or termination of a WhatsApp Business Account, changes to WhatsApp's APIs or policies, or messaging fees Meta may charge. Interruptions caused by Meta or WhatsApp are outside our control.
5. AI-Generated Responses
Responses generated through SalesAgent are produced using Anthropic's Claude AI models, accessed via AWS Bedrock. AI-generated responses may be inaccurate, incomplete, or inappropriate in some situations. You are responsible for reviewing and monitoring conversations handled by SalesAgent on your behalf, for configuring the service appropriately for your business, and for any decisions made or actions taken in reliance on AI-generated content. SalesAgent is provided as a tool to assist your sales process, not as a substitute for your own judgment or compliance obligations.
6. Accounts and Account Responsibilities
You are responsible for maintaining the confidentiality of your dashboard credentials and for all activity that occurs under your account. You agree to provide accurate information when registering and to promptly update it as needed. Notify us promptly of any unauthorized use of your account.
7. Customer Data and Privacy
Our collection and use of information in connection with SalesAgent is described in ourPrivacy Policy. As between you and SalesAgent, you retain ownership of the data and content belonging to your business and your customers that you submit to or generate through the service ("Customer Data"), and you grant us the right to process Customer Data solely to provide the service to you.
8. Intellectual Property
SalesAgent, including its software, design, and underlying technology, is owned by AlgoTweaks or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use SalesAgent for your internal business purposes. You may not copy, modify, resell, or create derivative works of SalesAgent except as expressly permitted.
9. Fees and Billing
Any fees for use of SalesAgent, and the applicable billing cycle and payment terms, are as agreed between you and AlgoTweaks separately (for example, on sign-up or in an order form or invoice). You are responsible for any fees you agree to and for any taxes applicable to your use of the service.
10. Service Availability
We aim to keep SalesAgent available and reliable but do not guarantee uninterrupted or error-free operation. The service may be unavailable from time to time due to maintenance, updates, issues with third-party providers (including Meta/WhatsApp, our AI provider, or our hosting provider), or circumstances outside our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by applicable law, SalesAgent and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the service. The service is provided "as is" and "as available" without warranties of any kind, express or implied, except as required by applicable law.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your misuse of SalesAgent, your violation of these Terms, or your violation of applicable law or third-party rights, including Meta's WhatsApp policies.
13. Termination
You may stop using SalesAgent and close your account at any time. We may suspend or terminate access to SalesAgent if you violate these Terms, if required by Meta's policies governing the WhatsApp Business Platform, or for other reasonable business or legal reasons, with notice where practicable. Upon termination, your right to use the service ends, and data will be handled as described in ourPrivacy Policy andData Deletion page.
14. Governing Law
These Terms, and any dispute arising out of or relating to them or your use of SalesAgent, are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles, and subject to the exclusive jurisdiction of the competent courts of Israel.
15. Changes to These Terms or the Service
We may update these Terms or modify, suspend, or discontinue any part of SalesAgent (including features that depend on third-party providers such as Meta or our AI provider) at any time. Material changes to these Terms will be reflected by updating the "Last updated" date above. Continued use of SalesAgent after changes take effect constitutes acceptance of the updated Terms.
